Welcome to SinapTICs! These Terms of Service ("Terms," "ToS") govern your access to and use of the SinapTICs website [sinaptics.com] (the "Site"), our Laboratory Information System software-as-a-service (the "Service"), and any related services provided by SinapTICs ("SinapTICs," "we," "us," or "our").
Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, do not access or use the Service.
If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, "you" and "your" will refer to that Organization.
1. Description of Service
SinapTICs provides a modular and customizable Laboratory Information System (LIS) designed for human, veterinary, imaging (PACS), and industrial laboratory settings. The Service aims to enhance efficiency, provide comprehensive records management, offer a user-friendly interface, improve client communication, ensure data security, and integrate with lab analyzers. Key features include multi-platform integration, process automation, customization, robust security, and a user-friendly interface.
2. Account Registration and Use
- Registration: To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
- Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account, whether or not you have authorized such activities or actions. You agree to notify us immediately of any unauthorized use of your account.
- Eligibility: You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old.
3. Client Data and Responsibilities
- Your Data: You (or your Organization) retain all ownership rights to the data, information, files, and content that you upload, store, process, or transmit through the Service ("Client Data"). We do not claim any ownership over your Client Data.
- Responsibility for Client Data: You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all Client Data. You represent and warrant that you have all necessary rights, consents, and permissions to collect, share, and use your Client Data in connection with the Service and in accordance with applicable laws, including data privacy laws (e.g., HIPAA, GDPR, CCPA, etc.).
- Data Processing: We will process Client Data only as instructed by you, as necessary to provide the Service, and as outlined in our Privacy Policy and any applicable Business Associate Agreement (BAA) or Data Processing Addendum (DPA).
- Protected Health Information (PHI): If you are a "Covered Entity" or "Business Associate" under the Health Insurance Portability and Accountability Act of 1996 (HIPAA), and your Client Data includes PHI, you agree to enter into a separate Business Associate Agreement (BAA) with SinapTICs. The terms of such BAA will govern the processing of PHI.
- Security: We implement and maintain appropriate technical and organizational measures to protect Client Data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access, as detailed in our Privacy Policy. However, you are responsible for configuring and using the Service securely, including managing user access and permissions.
4. Acceptable Use Policy
You agree not to misuse the Service or help anyone else to do so. You agree not to:
- Probe, scan, or test the vulnerability of any system or network.
- Breach or otherwise circumvent any security or authentication measures.
- Access, tamper with, or use non-public areas of the Service, SinapTICs' computer systems, or the technical delivery systems of SinapTICs' providers.
- Interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services.
- Plant malware or otherwise use the Services to distribute malware.
- Access or search the Services by any means other than our publicly supported interfaces (e.g., "scraping").
- Send unsolicited communications, promotions or advertisements, or spam.
- Send altered, deceptive, or false source-identifying information, including "spoofing" or "phishing."
- Publish or share materials that are unlawfully pornographic or indecent, or that contain extreme acts of violence.
- Advocate bigotry or hatred against any person or group of people based on their race, religion, ethnicity, sex, gender identity, sexual preference, disability, or impairment.
- Violate the law in any way, including storing, publishing or sharing material that's fraudulent, defamatory, or misleading.
- Violate the privacy or infringe the rights of others.
- Upload or process any data for which you do not have the necessary rights, consents, or permissions.
5. Fees and Payment
- Subscription Fees: The Service is offered on a subscription basis. Current fees are $150/month or $1500/year (Save 16%). Special discounts may apply for labs outside the U.S. as indicated on our Site.
- Payment: You agree to pay all applicable fees for the Service as described on our Site or in a separate agreement. We may use a third-party payment processor to bill you. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms.
- Billing Cycle: Subscription fees are billed in advance on a monthly or annual basis and are non-refundable, except as required by law or as explicitly stated in these Terms.
- Automatic Renewal: Unless you cancel your subscription before the end of the current subscription period, your subscription will automatically renew, and you authorize us to collect the then-applicable subscription fee using any credit card or other payment mechanism we have on record for you.
- Price Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any fee changes.
- Taxes: All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes based solely on SinapTICs' income.
- Free Demo: We may offer a free demo or trial period. The terms of any free demo will be specified at the time of the offer.
6. Intellectual Property Rights
- Our IP: The Service and its original content (excluding Client Data), features, and functionality are and will remain the exclusive property of SinapTICs and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of SinapTICs.
- Your License to Use the Service: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal business operations.
- Feedback: If you provide us with any suggestions, comments, or other feedback relating to the Service ("Feedback"), SinapTICs may use such Feedback in any manner and for any purpose without any obligation to you.
7. Third-Party Services and Links
The Service may integrate with or contain links to third-party websites, services, or resources (e.g., lab analyzers, payment processors, Google OAuth) that are not owned or controlled by SinapTICs. We do not endorse and are not responsible or liable for their availability, accuracy, the related content, products, or services. You are solely responsible for your use of any such third-party services and your compliance with their terms and policies.
8. Term and Termination
- Term: These Terms will remain in full force and effect while you use the Service.
- Termination by You: You may terminate your account and these Terms at any time by ceasing to use the Service and notifying us.
- Termination by SinapTICs: We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Grounds for termination may include, but are not limited to, (a) a breach of these Terms, (b) a request by law enforcement or other government agencies, (c) a request by you, (d) discontinuance or material modification of the Service, or (e) unexpected technical or security issues or problems.
- Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your Client Data upon termination, subject to our data retention policies, applicable law, and the terms of any BAA. Sections concerning Client Data and Responsibilities, Fees (for amounts due before termination), Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Miscellaneous will survive termination.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
SINAPTICS DOES NOT WARRANT THAT: A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURELY, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SINAPTICS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL IN NO EVENT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO SINAPTICS FOR THE PAST TWELVE (12) MONTHS FOR THE SERVICES IN QUESTION.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE LIMITATIONS ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to defend, indemnify, and hold harmless SinapTICs and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Client Data, including any claim that Client Data infringes or violates any third-party intellectual property rights or privacy rights or violates any applicable law.
12. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of [Your State/Country, e.g., the State of Delaware, United States], without regard to its conflict of law provisions.
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in [Your City, Your State/Country], using the English language in accordance with the Arbitration Rules and Procedures of [Arbitration Association, e.g., JAMS] then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief pending a final decision by the arbitrator.
13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least [e.g., 30] days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
14. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy and any BAA or DPA (if applicable), constitute the entire agreement between you and SinapTICs concerning the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
- Waiver: No waiver by SinapTICs of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
- Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
- Notices: All notices to SinapTICs must be sent to the contact information below. Notices to you may be sent to the email address associated with your account or by posting on the Service.
